Assistant General Counsel - Commercial Contracts

  • Draft, review, redline, negotiate and finalize commercial contracts, such as purchase/supply agreements, service agreements, lease agreements, maintenance agreements and other types of contracts, including drafting contracts for specific transactions for which no templates currently exist.
  • Provide practical advice regarding commercial contracts directly to Crown employees, including personnel located throughout the United States and internationally. 
  • Support Crown employees with respect to the commercial aspects of contracts. 
  • Manage contract workflow and serve as a point of contact for business personnel for contractual matters, including responding to process and status questions. 
  • Respond to questions that arise from Crown employees regarding contract terms. 
  • Collaborate with Crown employees to interpret contracts and resolve disputes related to contractual provisions.
  • Develop and/or revise policies related to contract workflow and review.
  • Create and update Crown forms, playbooks and training documents to be used in the contract review and negotiation process. 
  • Utilize a contract management software program that maintains version control of contracts in the contract review process. 
  • Educate Crown employees on Crown policies regarding contract review and negotiation to ensure consistency and efficiency throughout the organization.
  • As requested, provide guidance and assistance on legal issues relating to commercial transactions contemplated and/or pursued by Crown.



  • Juris Doctor degree in law
  • Valid license to practice law
  • Three or more years of prior transactional experience (with an emphasis in commercial contracts) in a law firm or corporate law department
